Katarina Strandberg;
Katarina Strandberg is conducting doctoral studies at
Stockholm University with a focus on legal research within company law
realtering to international financial management. The research also, in
extension, covers the competitiveness within said fields of finance and
attraction of capital/investment activities into primarily Sweden, the US and
Luxembourg. This includes in relation to how they facilitate – and can attract
– international investment fund operations as well as investments into
alternative investments including private companies.
Katarina is writing her PhD thesis on open ended
investment funds and their legal structure, with specific focus on the
internationally most popular model, the corporate model with variable share
capital. Even though the structure is widely popular, it is not offered in
Sweden. The legislator has repeatedly stated a positive as regards implementing
such a legal structure – but nothing has happened yet.
The dissertation aims to bridge the knowledge gad as
regards corporations with variable share capital. The research will accordingly
include presenting and analyzing peculiar features of the legal structures such
as the protected cell regimes, unitary board structures, the right to exit and
enter the fund at will, the share price mechanism and governance and investor
protection issues. The overarching purpose is to create both better grounds for
a potential implementation in Sweden, to better understand it as Swedish actors
are exposed to it also in an international context, and to learn from its
individual innovative features as a contribution to the general company law
research and Swedish business developments.

Alexander R. Besher:
Alexander Besher is a doctoral candidate at Stockholm
University, currently working on a legal article addressing the management of
surplus in insurance and occupational pension companies, particularly in
non-profit-distributing entities. This issue is of societal importance, as
employers, ranging from small businesses to large corporations, are the primary
contributors to the surplus in these companies, while shareholders have
contributed only minimally in terms of risk capital. Despite this, shareholders—who
may have provided only nominal share capital—exercise control over tens of
billions (SEK) managed by these companies through their appointed boards.
Additionally, they make decisions regarding the distribution of surplus funds,
often guided by internal regulations agreed upon by the shareholders
themselves. Such regulations are not always in line with the law and are
frequently influenced by political ideologies rather than being designed to
effectively manage the surplus.
The article offers a thorough legal analysis of the
principle of reasonableness (“skälighetsprincipen”), its origins, removal, and
the transitional provisions. It also includes an international perspective
within the EU and the UK. The article is unique in that no previous scholarly
work has examined skälighetsprincipen concerning the applicability of the
transitional provisions following the 1999 Insurance Business Reform.
